Fastener.io, LLC LINK Listing Subscription Agreement

1. Parties Involved

Service Provider: Fastener.io, LLC, a limited liability company organized under the laws of Delaware.
Subscriber: you/your Company.

2. Service Description

Fastener.io, LLC offers, among other products and services, a business directory listing service named LINK on its Software as a Service (SaaS) platform.

3. Subscription Terms

Listing Fee: The Subscriber agrees to pay a monthly fee as specified in the checkout process for the directory listing on LINK.
Initial Term: The listing will be active from the date of the first payment for a duration as specified during checkout and payment (e.g. 6 months).
Renewal Term(s): This subscription will automatically renew for successive time period(s) upon expiration of the initial period for an equal duration as initially agreed to in checkout and payment, and continue to automatically renew as such unless and until cancelled by the Subscriber or Fastener.io, LLC with at least 30 days' notice prior to the then-next renewal cycle. Notwithstanding the foregoing, such renewal time period(s) may be amended by mutual agreement of the parties hereto in writing at any time and for any reason (email to suffice).

4. Payment Terms

The monthly fee will be automatically charged to the Subscriber’s credit card (or other payment method) on file in advance of each time period.
The Subscriber must provide valid and updated credit card information (or other payment method acceptable to Fastener.io, LLC) and authorizes Fastener.io, LLC to charge such credit card for all purchased services.

5. Subscriber Responsibilities

The Subscriber is responsible for providing accurate, current, and complete information for the directory listing.
The Subscriber is responsible for keeping its payment information current and valid.
The Subscriber agrees to comply with all applicable laws and regulations in their use of the LINK platform.

6. Service Provider Responsibilities

Fastener.io, LLC will ensure the availability and accessibility of the directory listing as per the agreed terms.
Fastener.io, LLC will provide customer support and maintenance for the LINK platform.
Fastener.io, LLC will provide uptime of LINK as per its hosting agreement with its provider.

7. Cancellation

Either party may terminate this agreement with a 30-day written notice prior to the end of the time period active at the time of such cancellation (email or online deactivation to suffice).
In case of breach of terms by either party, the other party has the right to cancel the agreement immediately.

8. Limitation of Liability

Fastener.io, LLC's liability under this agreement shall be limited to the amount paid by the Subscriber.

9. Confidentiality

Both parties agree to keep any confidential information obtained through LINK secure and confidential, and only to access LINK during the paid term (or period as otherwise allowed by Fastener.io, LLC in its sole and absolute discretion).

11. Dispute Resolution

Any disputes arising from this agreement will be resolved through arbitration in California.

12. Amendment and Waiver

This agreement may only be amended in writing by both parties (email to suffice).
The failure to enforce any provision of this agreement will not be considered a waiver of that or any other provision.

13. Entire Agreement

This document represents the entire agreement between the parties and supersedes all prior discussions, agreements, or understandings of any kind.

14. Agreement Acceptance

By checking the box during the signup process and/or using the LINK platform, the Subscriber agrees to the terms and conditions outlined in this agreement.
